You authorize us to charge your designated payment method for all applicable fees.

You agree not to:

• Engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to our systems
• Interfere with the operation of our platform
• Use our platform for money laundering or terrorist financing

• Impersonate others or misrepresent your affiliation

Violation of these rules may result in immediate termination of your account.

All content on our platform, including text, graphics, logos, images, software, and compilations, is owned by UDC or our licensors and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our platform for personal, non-commercial purposes.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or logos without authorization
• Create derivative works based on our platform
• Reverse engineer or decompile our software

OUR PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not guarantee any specific investment outcomes or returns. Investment decisions are made at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOST PROFITS, REVENUE, OR DATA
• INVESTMENT LOSSES OR DIMINISHED VALUE
• DAMAGES ARISING FROM YOUR USE OF OUR PLATFORM

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless UDC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your investment decisions and activities
• Any content you submit to our platform

We may suspend or terminate your account at any time for any reason, including:

• Violation of these Terms
• Suspected fraudulent activity
• Legal or regulatory requirements
• Extended period of inactivity
• Our decision to discontinue services

Upon termination, you must cease using our platform. Certain provisions of these Terms survive termination.

These Terms are governed by the laws of [Jurisdiction] without regard to conflict of law principles.
